What Is a Power of Attorney?

A Power of Attorney is a legal instrument under the Powers of Attorney Act, 1882, by which you (the principal ) authorise another person (the attorney/agent ) to act on your behalf. For NRIs, a PoA is essential because you cannot personally be present in India for every transaction or court appearance.

There are two main types:

  • General Power of Attorney (GPA) : Grants broad authority — property management, banking, legal proceedings, business matters. Suitable when you need ongoing representation.
  • Special Power of Attorney (SPA) : Limited to one specific task — e.g., “sell property bearing House No. X, Sector Y, Chandigarh.” Safer and preferred for one-time transactions.

How to Execute a PoA from USA

If you are in the USA, the PoA must be:

  • Drafted : We draft the PoA document and email it to you for review
  • Notarised : You sign it before a US Notary Public
  • Apostilled : The USA is a member of the Hague Apostille Convention. The notarised PoA must be apostilled by the Secretary of State of the state where it was notarised
  • Sent to India : You courier the apostilled original to India
  • Adjudicated : We get it adjudicated (stamp duty paid) at the Collector’s/SDM office in India
  • Registered (if for immovable property): We register it at the Sub-Registrar’s office

How to Execute a PoA from UK

The process for UK is similar as the UK is also a Hague Apostille Convention country:

Alternatively, you can sign before the Indian High Commission/Consulate in London, Birmingham, or Edinburgh — this eliminates the need for apostille as the Indian consular seal is sufficient.

  • Sign before a UK Solicitor or Notary Public
  • Get the document apostilled by the UK Foreign, Commonwealth & Development Office (FCDO)
  • Send to India for adjudication and registration

How to Execute a PoA from Canada

Canada is a Hague Convention country. The process:

You can also execute it at the Indian High Commission in Ottawa or Consulates in Toronto or Vancouver — consular execution eliminates the apostille step.

  • Sign before a Canadian Notary Public
  • Get the document apostilled by the provincial government (e.g., Ontario Ministry of the Attorney General)
  • Courier to India; we handle adjudication and registration

Adjudication and Registration in India

Once the apostilled PoA arrives in India:

  • Adjudication : We pay the applicable stamp duty at the Collector’s office. This validates the PoA under Indian stamp law.
  • Registration : For PoAs involving sale/purchase or mortgage of immovable property, registration at the Sub-Registrar’s office is mandatory under Section 17 of the Registration Act, 1908. Without registration, such a PoA cannot be relied upon for property transactions.

Safeguards Against PoA Misuse

PoA misuse by the appointed attorney is a common NRI problem. Protect yourself:

  • Grant a Special PoA rather than a General PoA wherever possible
  • Specify a time limit (e.g., valid for 12 months only)
  • Include a clause requiring the attorney to render accounts
  • Avoid granting sub-attorney powers (the right to appoint a further attorney)
  • Maintain a certified copy of the PoA with you
  • Consider appointing two co-attorneys who must act jointly

What If Your PoA Was Misused?

If your attorney has sold your property without authorisation, cheated you, or exceeded the scope of the PoA, immediate action is required:

Courts have consistently held that a sale deed executed beyond the scope of a PoA or in violation of its terms is voidable and can be set aside.

  • File an FIR for breach of trust (Section 316 BNS) and cheating (Section 318 BNS)
  • File a civil suit to set aside the fraudulent sale deed
  • Obtain an urgent injunction preventing further transfers or third-party rights being created

Frequently Asked Questions

Can I execute a PoA at the Indian Consulate rather than getting it apostilled? Yes. Execution before the Indian Consulate/High Commission is equally valid and eliminates the apostille step. However, you must appear in person at the Consulate.

How long does the India-side process take? Adjudication takes 1–3 days. Registration (where required) takes 1–3 days. Total India-side process: approximately 1 week after we receive the document.

Can a PoA be revoked? Yes. You can revoke a PoA at any time by executing a Revocation Deed (also notarised, apostilled, and registered in India) and notifying the attorney and all parties who relied on the PoA.

Does a PoA expire on the death of the principal? Yes. A PoA is automatically revoked on the death of the principal. This is why a PoA is not a substitute for a Will for estate planning purposes.
