What a Power of Attorney Does for Indian Property and Court Matters
Under the Powers of Attorney Act, 1882, a POA is a written instrument by which the principal authorises an attorney (agent) to act in the principal’s name. Common UK–NRI uses in India include:
- Signing sale deeds, purchase agreements or leases for immovable property
- Mutation, tax, society or municipal filings tied to property
- Limited bank mandates where the bank accepts a registered POA
- Instructing an advocate and signing pleadings, affidavits or related papers in civil, family or High Court matters that the court allows through an authorised agent
- Collecting certified copies and dealing with revenue authorities, including jamabandi and intkal entries in Punjab and Haryana
Where the POA will create, transfer or extinguish rights in immovable property, registration practice is driven by the Registration Act, 1908. Section 17 lists documents whose registration is compulsory; Section 18 lists those where it is optional. In practice Sub-Registrars and buyers’ counsel usually insist on registration of a sale-related POA so the title chain is clear. Stamp duty and adjudication of a foreign-executed POA are state matters, and practice differs across Punjab, Haryana and Chandigarh.
A POA does not transfer ownership by itself. Ownership moves only through the deed the attorney is empowered to sign, with stamp and registration compliance for that deed.
General Power of Attorney and Special Power of Attorney
A General Power of Attorney (GPA) grants a wide set of powers: manage property, collect rent, appear before authorities and often litigate. It suits long-term management and carries the higher misuse risk. A Special Power of Attorney (SPA) limits authority to named acts, such as sale of a specified property at or above a stated price, or filing in a named suit. For a one-off sale or a single court task an SPA is usually the safer structure.
Courts read the operative clauses, not the cover title. Useful drafting controls include a full property schedule, whether a substitute may be appointed, a bar on self-dealing unless intended, a price floor, an end date or expiry after the named act, and a duty to keep accounts and supply copies of registered deeds.

The UK Execution Chain
India and the United Kingdom are both parties to the Hague Convention of 5 October 1961 (the Apostille Convention). India acceded on 26 October 2004 and the Convention entered into force for India on 14 July 2005. A UK public document properly apostilled by the UK authorities is, in Convention terms, freed from the older multi-step embassy legalisation chain for use in other Contracting States. Indian stamp, registration and court rules still apply once the document reaches India.
Two routes are common. Confirm which one your Sub-Registrar, bank or court wants before paying for appointments.
Route A — execution at the Indian mission
The High Commission of India, London lists execution of a Power of Attorney for civil, property or financial matters among the consular services provided directly. Applications go through the MEA consular portal by appointment. Residents outside London’s jurisdiction use the Consulate General of India in Birmingham or Edinburgh, per each post’s jurisdiction map.
- Draft the POA in the form Indian counsel or the Sub-Registrar expects.
- Complete the online consular form and book the correct post.
- Attend with identity documents and any required witnesses.
- Sign before the consular officer as required.
- Courier the original executed instrument to India.
Route B — UK notary, FCDO apostille, optional counter-attestation
- Drafting — Indian counsel settles the powers for the intended sale, suit or mandate.
- Notarisation — you sign before a UK notary public, or the document is certified by a UK public official in a form the FCDO will apostille.
- FCDO apostille — apply to the FCDO Legalisation Office. Paper legalisation commonly takes longer than the e-Apostille route where the document type qualifies. Confirm whether the Indian end-user wants wet-ink paper.
- Optional counter-attestation — some Indian offices still ask for mission counter-attestation of an FCDO-apostilled POA; others accept notary and apostille alone.
- Courier — send originals, keep scans, do not laminate.
Scotland and Northern Ireland use their own notary and solicitor lists; FCDO legalisation still applies to eligible UK documents.
Registration at the Sub-Registrar in India
After the UK-side formalities the usual India-side path is stamp adjudication under the relevant state stamp law, then registration before the Sub-Registrar under the Registration Act, 1908 where required or insisted upon, with attorney identity, photographs, fingerprints and witnesses as local practice demands, and finally certified copies for counsel, buyer and bank.
Until stamp and, where applicable, registration are complete, many Sub-Registrars will not allow the attorney to execute a sale deed on that POA. Build this into any UK-side completion date.
Validity, Duration and Revocation
Unless the deed says otherwise, a POA does not expire on a fixed date by default. It generally ends when the principal revokes it in writing and records the revocation where the original was registered, when the principal dies, when a strictly special POA’s named act is finished, or when a court sets the instrument aside on recognised grounds.
Revocation should be notified to the attorney, to the Sub-Registrar if relevant, and to banks, societies and opponents in pending cases. A fixed term in the deed is a drafting choice, not a default under the Powers of Attorney Act, 1882.
POA Misuse and How to Reduce Risk
Patterns seen in NRI property disputes include under-value sales to related buyers, unauthorised further POAs, mortgages beyond authority and retention of title papers. Controls that help:
- Prefer an SPA for a single sale or case
- Prohibit self-dealing unless intended
- Set a price or settlement floor
- Limit sale to a named buyer where appropriate
- Keep title deeds with a neutral custodian where possible
- Register the POA, and record the revocation when you cancel it
- Have Indian counsel verify the attorney’s identity at registration against papers you sent directly
Where misuse is alleged, civil options may include declaration, cancellation, injunction and recovery. On appropriate facts criminal provisions under the Bharatiya Nyaya Sanhita, 2023 may be examined, including Section 316 BNS (criminal breach of trust; formerly Section 406 IPC) and Section 318 BNS (cheating; formerly Section 420 IPC). Application depends on the evidence.
What a POA Cannot Do in a Criminal Case
A POA is private agency. It does not change the position of an accused person under the Bharatiya Nagarik Suraksha Sanhita, 2023.
- An Indian advocate acts mainly under a vakalatnama. A POA supports logistics so many filings can move without the NRI attending every date.
- Some steps remain personal: appearance, personal bonds, and conditions only the accused can meet. Section 482 BNSS (anticipatory bail; formerly Section 438 CrPC) and regular bail are court-controlled.
- A POA does not by itself stop an arrest, cancel a Look Out Circular, or quash an FIR. Those need separate proceedings, for example quashing under Section 528 BNSS (formerly Section 482 CrPC) or a writ under Article 226 of the Constitution.
- A POA cannot authorise false evidence or impersonation of the accused.

Frequently Asked Questions
Is a UK Power of Attorney valid in India without an Indian High Commission stamp?
India has applied the Apostille Convention since 14 July 2005, so a UK notarial POA with a proper FCDO apostille is the Convention baseline. Some Sub-Registrars, banks or counterparties still ask for mission counter-attestation. Confirm with the receiving office before you rely on one route.
Do I need an FCDO apostille if I sign at the High Commission of India in London?
Consular execution of a civil, property or financial POA follows the mission checklist. That path is separate from legalising a UK notarial deed. Use one checklist and do not mix them.
Can one Power of Attorney cover both a property sale and a court case?
Combined powers are possible but harder to control. Many principals use a property Special POA and handle court work through a separate litigation POA or a vakalatnama.
Must a Power of Attorney for sale of immovable property be registered in India?

Can a Power of Attorney let someone finish my criminal trial without me?
Not as a full substitute. Counsel can be instructed and some applications can proceed through authorised representation, but personal appearance and bond conditions often remain with the accused under the BNSS.

Many clean UK to India Special POA files need on the order of one to two months end to end once drafting starts, driven largely by FCDO and Sub-Registrar timing. Build in contingency.
